The Issuer announced on October 20, 2021 that Laurentian Bank Securities Inc. (“Laurentian Bank Securities”), has been engaged as financial advisor to International Cobalt and General Magnesium Corporation (“GMC” and together with International Cobalt, the “Companies”), in order to advise the Companies on the execution of a private placement of up to $4,000,000 in gross proceeds, through the issuance of securities of GMC. This is in accordance with a press release dated August 11, 2021, where International Cobalt announced the terms of a definitive business combination agreement (the “Agreement”) with GMC and 2857695 Ontario Inc., a newly incorporated, wholly-owned subsidiary of International Cobalt. Pursuant to the Agreement, International Cobalt will acquire all of the issued and outstanding shares of GMC in exchange for shares of International Cobalt, which will constitute a reverse takeover of International Cobalt by GMC and will be a “fundamental change” of International Cobalt pursuant to the policies of the Canadian Securities Exchange (“CSE”), requiring approval from the CSE and shareholders of International Cobalt and GMC. Laurentian Bank Securities has been engaged to advise the Companies on the execution of a private placement of up to $4,000,000 in gross proceeds, through the issuance of securities of GMC, a portion of which may be issued on a “Flow- Through” basis pursuant to subsection 66(15) of the Income Tax Act (Canada). The proceeds of the private placement will be held in escrow and released to the combined company on close of the Transaction. The proceeds of the private placement will be used to fund the development of the Whitney Talc-Magnesite project and for general working capital purposes.
