Declan Resources, um Aktien für 30 zurückzuholen 2017-07-17 12:52 ET - Pressemitteilung Herr Wayne Tisdale berichtet DECLAN BEKANNT DETAILS DER AKTIENKONSOLIDIERUNG Declan Resources Inc. stellt die Details einer vorgeschlagenen Konsolidierung seiner Stammaktien zur Verfügung. Am 6. Juli 2017 hat der Vorstand der Gesellschaft gemäß den Vorstandsdokumenten der Gesellschaft eine Beschlussfassung über die Ermächtigung zur Ermächtigung der ausgegebenen und ausstehenden Stammaktien der Gesellschaft auf einer Basis von 30% beschlossen. Das Unternehmen hat derzeit 177.095.209 Stammaktien ausgegeben und ausstehend. Nach Abschluss der Konsolidierung und ohne Berücksichtigung von Anpassungen für Rundungen, wird davon ausgegangen, dass es etwa 5.903.173 Stammaktien ausstehen wird. Jeder Bruchteil wird auf die nächste ganze Zahl abgerundet. Das Unternehmen beabsichtigt nicht, seinen Namen zu ändern oder ein neues Aktienhandelssymbol von der kanadischen Wertpapierbörse im Zusammenhang mit der Konsolidierung zu suchen. Die Gesellschaft wird die notwendigen Einreichungen abschließen, um die Konsolidierung zum 19. Juli 2017 in Kraft zu setzen. Nach der Fertigstellung wird ein Übermittlungsschreiben per Post an die Aktionäre übermittelt, die ihnen mitteilen, dass die Konsolidierung in Kraft getreten ist und sie zur Übergabe anstellt Zertifikate, die ihre Stammaktien für Ersatzzertifikate nachweisen, die die Anzahl der Stammaktien darstellen, auf die sie als Ergebnis der Konsolidierung Anspruch haben. Bis zur Auslieferung wird jede Bescheinigung, die früher Stammaktien vertritt, für alle Zwecke als die Anzahl der Stammaktien angesehen, auf die der Inhaber infolge der Konsolidierung Anspruch hat. Der Vorstand der Gesellschaft ist der Ansicht, dass die Konsolidierung dem Unternehmen eine größere Flexibilität für künftige Unternehmensaktivitäten bieten wird, die Marktfähigkeit der Stammaktien als Investition erhöhen und zu einem verstärkten Interesse durch ein breiteres Publikum potenzieller Investoren führen wird Erhöhung der Fähigkeit, in naher Zukunft zusätzliche Finanzierungen für Operationen zu erhöhen.

Declan Resources to roll back shares one for 30 2017-07-17 12:52 ET - News Release Mr. Wayne Tisdale reports DECLAN ANNOUNCES DETAILS OF SHARE CONSOLIDATION Declan Resources Inc. is providing the details of a proposed consolidation of its common shares. On July 6, 2017, in accordance with the constating documents of the company, the board of directors of the company passed a resolution authorizing the consolidation of the issued and outstanding common shares of the company on one-for-30 basis. The company currently has 177,095,209 common shares issued and outstanding. Following the completion of the consolidation and not taking into account any adjustments for rounding, the company anticipates there will be approximately 5,903,173 common shares outstanding. Any fractional share will be rounded down to the nearest whole number. The company does not intend to change its name or seek a new stock trading symbol from the Canadian Securities Exchange in connection with the consolidation. The company will complete the necessary filings in order to give effect to the consolidation as of July 19, 2017. Once completed, a letter of transmittal will be sent by mail to shareholders advising them that the consolidation has taken effect and instructing them to surrender the certificates evidencing their common shares for replacement certificates representing the number of common shares to which they are entitled as a result of the consolidation. Until surrendered, each certificate formerly representing common shares will be deemed for all purposes to represent the number of common shares to which the holder thereof is entitled as a result of the consolidation. The board of directors of the company is of the view that the consolidation will provide the company with greater flexibility for future corporate activities, enhance the marketability of the common shares as an investment and lead to increased interest by a wider audience of potential investors, thereby increasing its ability to raise additional financing for operations in the near future.
