PRIVATE INVESTOR ANNOUNCES ACQUISITION OF COMMON SHARES OF GAIA GROW Karsten Busche, a private investor, has issued this release under Section 3.1 of National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Requirements, pursuant to the acquisition of common shares in the capital of Gaia Grow Corp. On Aug. 18, 2022, the acquiror purchased 1.1 million common shares through the Canadian Securities Exchange at a cost of $88,000, or eight cents per share, taking his interest above the 10-per-cent reporting threshold. Between Aug. 19, 2022, and Aug. 24, 2022, the acquiror directly bought another 538,000 common shares by a series of purchases through the facilities of the CSE at eight cents per share. Prior to Aug. 18, 2022, the acquiror held an aggregate of 953,040 common shares and 96,000 warrants. The aggregate shares and warrants over which the acquiror had beneficial ownership, control or direction represented approximately 7.4 per cent of the issued and outstanding shares on an as converted and partially diluted basis. As of the date hereof, the acquiror now beneficially owns or has control or direction over 2,591,040 common shares and 96,000 warrants, representing approximately 18.97 per cent of the issued and outstanding shares on an as converted and partially diluted basis. This will be the initial report filed under the early warning reporting rules of Canadian securities laws by the acquiror. An early warning report will be filed by the insider pursuant to NI 62-103 on SEDAR under the profile of the company.
