Es gibt eine audführliche Stellungnahme vom 12.10.2018 von Lottogopher. Man muss es mehrfach lesen, um es wirklich zu begreifen. Es gibt eine Liste von Anforderungen seitens der Canadian StockExchange CSE, die erfüllt werden muss, um nach dem Zusammenschluss wieder an die Börse gehen. Bevor das passiert, sollen aber die Hauptaktionäre von Bravio und Lottogopher abstimmen, ob die Transaktion und die Finanzierung überhaupt durchgeführt wird. Bis jetzt wird der 30.11. als spätester Termin für diese Abstimmung angegeben. Theoretisch kann es also auch früher zur Abstimmung kommen, evtl aber auch später. Erst dann wird der Zusammenschluss wirklich durchgeführt, sodass ich mit einem Wiedererscheinen an der Börse doch eher auf 01.01.2019 tippe.

Also wie man nun sieht, braucht man den Infos auf Stockhouse nicht vertrauen. Dort wurde verbreitet, dass Lottogopher den Handel für 30 Tage ab dem 28.09. aussetzt. Von Lottogopher gab es dazu keine offizielle Mitteilung. Wie wir sehen, sehen wir nichts... Es mag natürlich noch sein, das die 30 Tage nicht als Handelsmonat sondern als 30 Handelstage gesehen werden kann... Hmmm, keine Ahnung. Also dann kann man nur weiter abwarten. Vermutlich gehen die Verhandlungen nicht so schnell voran, wie gedacht.

Ohne Gewähr: nach meinem Verständnis findet Teil 1, siehe unten, bis heute statt (sollte zumindest ne News kommen) und Teil 2, zweiter Post, siehe unten) bis Ende November oder früher mit einer Aktionärsversammlung. Erst nach Teil 2 Wiederaufnahme würde ich sagen... Korrigiert mich wenn falsch

The Definitive Agreement contemplates, among other things, that on or prior to October 28, 2018 Bravio will complete an equity financing with aggregate gross proceeds of no less than $1,500,000 (the "Bravio Financing") and that on or prior to the Effective Date Bravio will complete a brokered Public Placement with aggregate gross proceeds of no less than $7,500,000 (the "Public Placement" and/or the "RTO Round" and together with the Bravio Financing, the "Proposed Financing"). Bravio has agreed to invest part of the Bravio Financing into the growth of the FreeLotto business in anticipation of the combined operations. The Definitive Agreement also contains customary representations, warranties and additional customary covenants for transactions of this nature and provides that the Proposed Transaction is to be completed pursuant to a plan of arrangement (the "Arrangement").

ottoGopher currently intends to convene a special general meeting of its shareholders on or prior to November 30, 2018, on a date yet to be determined, to consider and approve the Proposed Transaction. All of the directors and officers of LottoGopher have entered into voting support agreements with Bravio pursuant to which they have agreed to support and vote in favour of the Proposed Transaction at the LottoGopher shareholders meeting. A comprehensive information circular containing further details of the Definitive Agreement and Proposed Transaction will be prepared and filed in connection with the shareholder meeting.
