Skydance, the new corporate name for Paramount Skydance following the company’s $100 billion merger with Warner Bros. Discovery last week, issued Tuesday some 470 million warrants to its public holders—one warrant for each non-voting class B common share. ✳️ The warrants, which have an exercise price of $12 a share and a 10-year maturity, are trading at $2.33, up almost 6% on the session. Each warrant gives the holder the right to buy one Skydance share at that $12 exercise price before it expires. ✳️ So the investment community has roughly adjusted the stock price for the value of those warrants. Skydance’s official closing share price for Tuesday was adjusted down by about 20 cents to $9.07 a share to account for the warrant issuance, according to the company. Skydance stock is trading ex-dividend Wednesday, meaning current buyers are no longer entitled to receive the warrants. Investors who held the stock prior to Wednesday will get the warrants.

A loss at trial could kill the deal, and a lengthy legal journey would prove expensive as Paramount was set to rack up hefty fees it had agreed to pay Warner shareholders if the merger was delayed. ⛰️ But over the following weeks, Ellison waged a concerted behind-the-scenes campaign. He crisscrossed the country courting politicians, hired well-connected operatives and lobbyists to work regulators and lawmakers, cultivated allies with Republicans and Democrats and, in a pivotal move, even threatened to move his empire out of California. 🗻 California’s Gavin Newsom publicly called on the two sides to settle the matter, and privately encouraged the attorney general to go to the table. Ellison met with Newsom on more than one occasion. 🌋 Ellison’s efforts all came to fruition on Tuesday when Paramount officially closed the Warner deal and met with employees of the combined company—now renamed Skydance—at a town hall on the Warner Bros. studio lot.

Wenn die ersten Umstrukturierungen umgesetzt wurden, muss man es genau beobachten. Das wird sich insgesamt bis 2030/32 hinziehen. Das kann was großes werden oder ein Flopp für Aktionäre, aber die (positive) Chance ist gewaltig.
