At the annual meeting, we will ask stockholders to consider the following proposals:
To elect Douglas Satzman, Bruce T. Bernstein, Robert Weinstein, Donald E. Stout and Michael
Lebowitz to our Board of Directors;
To ratify the selection of Friedman LLP as our independent registered public accounting firm for
the fiscal year ending December 31, 2020;
To approve the XpresSpa Group, Inc. 2020 Equity Incentive Plan (the “2020 Plan”);
To approve, by an advisory vote, the compensation of our named executive officers, as disclosed
in this proxy statement; and
To approve an adjournment of our annual meeting of stockholders, if necessary, to solicit
additional proxies if there are not sufficient votes in favor of the proposals referred to in clauses
(2) through (4).
