FORNEBU, Norway, Oct. 17, 2025 /PRNewswire/ -- An extraordinary general meeting of Aker Carbon Capture ASA (under liquidation) (the "Company") was held today as a digital meeting with online participation. All resolutions were made in accordance with the proposals set out in the meeting notice published on 29 September 2025. The general meeting resolved to approve the liquidation settlement and thus to finally liquidate the Company. The Norwegian Register of Business Enterprises has been notified of the resolution, and the Company will shortly be deleted from the register. Since the general meeting has resolved that the Company is finally liquidated, the extraordinary general meeting previously scheduled for 29 October 2025 cannot take place and is therefore cancelled. The Company started as a spin-off from Aker Solutions in 2020 with a market capitalisation of approximately NOK 1 billion and a share price of NOK 1.7 per share. It has since delivered substantial shareholder value through development of the carbon capture business and the subsequent transactions with SLB and Aker. Since its inception, the Company has distributed approximately NOK 5.2 billion, NOK 8.66 per share, in cash to its Company's shareholders, representing a remarkable capital return that exceeded five times the original IPO share price, fundamentally rewarding shareholders despite share price volatility throughout the period. In norwegischen Foren rätselt man gerade völlig zu Recht, warum RA Möller mit den vereinten 12 Prozent entweder nicht abgestimmt hat oder dies nur nicht gewertet worden ist (was ich eher vermute als weiteren, kriminellen Schachzug seitens ACC / Rökke). Ich bin gespannt, wann und wie genau sich Möller dazu sicher bald erklären wird.

Die für heute angekündigte Liqui-Divi ist noch nicht geflossen, was bereits ungewöhnlich ist, ich aber so erwartet habe. Ich vermute, dass nun zeitnah eine einstweilige Anordnung von RA Möller kommt. Wahrscheinlich wollte er zuvor noch abwarten, was bei dieser heutigen HV konkret rauskommt.

Na da bin ich ja jetzt mal sehr gespannt, wie RA Möller auf den heutigen, weiteren und sehr offensichtlichen Betrugsversuch von ACC / Rökke reagiert. Da ist das letzte Wort ganz sicher noch nicht gesprochen, zeigt aber, dass Aker / Rökke hier massiv die Düse gehen muss, weil man ihnen auf die Schliche gekommen ist! Verwunderlich ist vorallem die nach wie vor völlige Untätigkeit norwegischer Aktien-Aufsichtsbehörden! "...Die Hauptversammlung beschloss, dem Liquidationsvergleich zuzustimmen und damit das Unternehmen endgültig zu liquidieren. Das norwegische Register der Wirtschaftsunternehmen über den Beschluss informiert wurde, und das Unternehmen wird in Kürze gelöscht aus dem Register. Da die Hauptversammlung beschlossen hat, dass die Gesellschaft endgültig liquidiert ist, die bisher für den 29. Es ist egal ob handelbar oder nicht … die sind doch in einem ganz anderen Dilemma sehe es einfach so : auf Eis gelegt bis weitere Infos bekannt gegeben werden.

Der Handel ist derzeit nur vorübergehend ausgesetzt und ACC / Aker / Rökke wäre es sicher am liebsten, wenn die Aktie nie wieder handelbar werden würde. Aber ich glaube, dass die Aktie irgendwann nochmal handelbar sein wird, mutmaßlich weil die Liqui-Divi bis auf weiteres nicht ausgezahlt werden wird.

Wenn ich raten müsste, dann würde ich annehmen, dass RA Möller noch vor dem 17.10. eine einstweilige Verfügung erwirkt, welche die Auszahlung der Divi bis auf weiteres untersagt. So würde ich zumindest vorgehen, um die spätere Finanzierung der angestrebten, unabhängigen Untersuchung durch ACC sicherzustellen.

Angeblich soll mit heute als Ex-Tag eine Divi ausgezahlt werden, ich habe da aber noch so meine Zweifel dran. Schau´n wer mal, in wenigen Tagen sind wir zumindest dahingehend etwas schlauer.
