Netflix steigt, weil sie wahrscheinlich nicht teuer Warner Bros. bekommen. Und Paramount fällt, weil sie ihr Gebot nachgebessert haben und dieses als überlegen angesehen wird. Ich würde sowieso kartellrechtlich anzweifeln, dass Netflix Warner Bros kaufen darf

Paramount (NASDAQ: PSKY) launched an all-cash tender offer to acquire Warner Bros. Discovery (NASDAQ: WBD) for $30.00 per share, implying an enterprise value of $108.4 billion and a 139% premium to the undisturbed WBD share price of $12.54 on September 10, 2025. Paramount says its offer delivers $18 billion more cash than the competing Netflix proposal and is financed without a financing condition: equity backstopped by Ellison family and RedBird and $54 billion of debt commitments from Bank of America, Citi and Apollo. The tender offer is scheduled to expire Jan 8, 2026 at 5:00 p.m. NYC time. Paramount cites $6+ billion in cost synergies and positions the deal as a pro‑competitive, faster path to close versus the Netflix transaction.

Welche Anteile?

Meiner Meinung nach ist es gut, dass Netflix den Zuschlag erhält, da der Kauf von Warner keine zwingende Notwendigkeit darstellt. Eine solche Übernahme mit dieser hohen Schuldenlast wäre für Paramount nicht vorteilhaft. Im Gegenteil: Netflix wird sich nun mit dieser Last herumschlagen müssen.

Hab’s auch eben gelesen. Werde wohl mal eine Position eröffnen - ein tausender reinschießen. Vllt übernehmen sie wirklich noch Warner Bros. 🤩😎
