Senseonics also today announced that it will conduct a reverse stock split of its outstanding shares of common stock at a ratio of one-for-twenty (the “Reverse Stock Split”). The reverse stock split will reduce the number of shares of common stock issued from approximately 816 million shares to approximately 41 million shares, subject to adjustment due to payment of cash in lieu of fractional shares. Approval of a series of alternate amendments to the Amended and Restated Certificate of Incorporation of the Company to effect a reverse stock split of the Company’s common stock (with a proportionate reduction in the authorized number of shares of common stock) in the range of 1-for-10 to 1-for-20, at any time prior to September 29, 2026, if and as determined by the Board of Directors of the Company in its sole discretion.
