Generalversammlung von Sundance Resources Limited (ASX: SDL) Ansprache des VorsitzendenDie letzten 12 Monate haben erhebliche Fortschritte bei der Zusammenstellung der Teile erzielt, um das erstklassige Eisenerzprojekt Mbalam-Nabeba in Richtung Entwicklung zu bringen. Während 2019 und 2020 eine frustrierende Zeit in dem Sinne waren, dass die Entwicklungsschritte länger gedauert haben als wir gehofft hatten, schätzen und würdigen wir die Geduld unserer Aktionäre sehr. Wir glauben, dass wir einen Weg nach vorne haben. Zu diesem Zweck begrüße ich Sie im Namen der Direktoren von Sundance zu unserer außerordentlichen Hauptversammlung. Wie Sie wissen, gab Sundance am 8. Juli 2019 bekannt, dass sie eine Vereinbarung mit AustSino geschlossen hat und die Anteilinhaber des Unternehmens, die im Falle einer Implementierung dazu führen würden, dass das Unternehmen einen Nettobarwert von 4 Mio. AUD erhält und seine Verbindlichkeiten um ca. 132 Mio. AUD reduziert. Die im Rahmen dieser Vereinbarung vorgeschlagenen Transaktionen unterliegen unter anderem der Zustimmung der Aktionäre bei dieser Hauptversammlung im Sinne der ASX-Kotierungsregeln und des Corporations Act. Im Rahmen der vorgeschlagenen Transaktionen hat das Unternehmen unter Berücksichtigung von 29 Mio. AUD und unter einer Reihe von Bedingungen, die erfüllt oder aufgehoben wurden, die Ausgabe von 11,15 Mrd. Aktien und 11,15 Mrd. Optionen an AustSino zu einem Ausübungspreis von 2 Cent und einem Ablaufdatum vereinbart von fünf Jahren nach dem Ausstellungsdatum; Nach Abschluss der Ausgabe von AustSino-Aktien und AustSino-Optionen werden die Wandelanleihen des Unternehmens gegen eine Barzahlung von 25 Mio. AUD und die Ausgabe von 2 Mrd. Aktien und 5 Mrd. Optionen zu einem Ausübungspreis von 2 Cent an die Gesellschaft annulliert Anleihegläubiger. Wenn diese vorgeschlagenen Transaktionen umgesetzt werden, löscht die Gesellschaft alle ihre Schulden im Rahmen der Anleihekündigung, was dazu führt, dass AustSino eine Stimmrechte von 51,9% in der Gesellschaft hat und die Anleihegläubiger zusammen eine Stimmrechte von ungefähr 9,02% haben. Die AustSino-Transaktion und die Stornierung von Schuldverschreibungen sind voneinander abhängig. Dies bedeutet, dass, wenn die Anteilinhaber nicht sowohl die AustSino-Transaktion als auch die Stornierung von Schuldverschreibungen genehmigen, keine der beiden umgesetzt wird. Der Verwaltungsrat ist der Ansicht, dass die vorgeschlagenen Transaktionen im besten Interesse der Anteilinhaber sind, und empfiehlt daher, dass Sie für die vorgeschlagenen Transaktionen stimmen. Die vollständigen Details waren in der Einladung zur Versammlung enthalten. Zusammenfassend sind die Gründe, warum wir diese Transaktionen unterstützen, folgende: 2 | P a g eStronger Bilanz und Cash Position. Nach Fertigstellung wird Sundance keine Schulden und 4 Millionen US-Dollar an Bargeld haben. Wenn alle von den Anleihegläubigern gehaltenen AustSino-Optionen und -Optionen vor ihrem Ablaufdatum ausgeübt werden, führt dies zu einer Geldzufuhr von ca. 320 Mio. AUD. Darüber hinaus ist das Unternehmen der Ansicht, dass AustSino weiterhin als strategischer Investor in Sundance beteiligt ist ist wichtig für die Entwicklung des Projekts. AustSino hat dazu beigetragen, ein bedeutendes Konsortium chinesischer Unternehmen zusammenzubringen, die an der Finanzierung, dem Aufbau und dem Betrieb unseres Projekts interessiert sind. Sundance beauftragte einen unabhängigen Experten, Pendragon, mit der Prüfung der Ausgabe von Anteilen an AustSino und der Erstellung des Berichts des unabhängigen Sachverständigen zur Unterstützung der Anteilinhaber im Verständnis der Vorzüge der AustSino-Transaktion. Pendragon ist zu dem Schluss gekommen, dass die Ausgabe von Anteilen an AustSino gemäß Resolution 1 für Anteilinhaber, die nicht mit AustSino oder den Anteilinhabern verbunden sind, fair und angemessen ist. Sundance Resources Limited(ASX : SDL)General MeetingChairman’s AddressThe past 12 months have delivered considerable progress in putting the parts together to move the world-class Mbalam-Nabeba Iron Ore Project towards development. While 2019 and 2020 was a frustrating period in the sense that steps towards development have taken longer than we would have hoped, we greatly appreciate and acknowledge the patience of our shareholders. We do believe we have a way forward.To that end, on behalf of the Directors of Sundance, I welcome you to our extraordinary general meeting.As you know, on 8 July 2019, Sundance announced that it had entered into an agreement with AustSino and the Noteholders of the Company which would, if implemented, result in the Company receiving net cash of A$4 million and reducing its liabilities by approximately A$132 million. The Proposed Transactions under this agreement are subject to, amongst other things, Shareholder approval at this EGM for the purposes of the ASX Listing Rules and the Corporations Act. Under the Proposed Transactions the Company has agreed, in consideration for A$29 million and subject to a number of conditions precedent being satisfied or waived, to issue to AustSino 11.15 billion Shares and 11.15 billion Options at an exercise price of 2 cents and an expiry date of five years after the date of issue ; and on completion of the issue of AustSino Shares and AustSino Options, the Company’s Convertible Notes will be cancelled in exchange for a cash payment of A$25 million and the issue of 2 billion Shares and 5 billion Options at an exercise price of 2 cents to the Noteholders.If these Proposed Transactions are implemented the Company will extinguish all of its debt under the Note Cancellation resulting in AustSino having voting power of 51.9% in the Company and the Noteholders combined having voting power of approximately 9.02%. The AustSino Transaction and Note Cancellation are inter-conditional. This means that if Shareholders do not approve both the AustSino Transaction or the Note Cancellation, then neither will be implemented. The Directors believe that the Proposed Transactions are in the best interests of Shareholders and, therefore, recommend that you vote in favour of the Proposed Transactions. The full details were contained in the Notice of Meeting but in summary the reasons we are supporting these transactions are: 2| P a g eStronger balance sheet and cash position. On completion Sundance will have no debt and $4 million of cash. If all of the AustSino Options and options held by the Noteholders are exercised before their expiry date, this will result in a cash injection of approximately A$320 million.In addition, the Company considers that the continued involvement of AustSino as a strategic investor in Sundance is important to developing the Project. AustSino has helped bring together a significant consortium of Chinese entities which are interested in funding, building, and operating our project.Sundance engaged an independent expert, Pendragon, to consider the issue of Shares to AustSino and to prepare the Independent Expert’s Report to assist Shareholders in understanding the merits of the AustSino Transaction.
