Die Vereinbarung unterliegt den üblichen Abwerbeverboten und sieht eine Abfindung in Höhe von 10,7 Millionen kanadischen Dollar vor, die von WonderFi unter bestimmten Umständen zu zahlen wäre, beispielsweise im Falle eines endgültigen Vertragsabschlusses mit WonderFi hinsichtlich eines besseren Angebots, das von Robinhood nicht erfüllt wird. Die Bedingungen für die Abgabe eines besseren Angebots und dessen vollständige Definition sind in der Vereinbarung enthalten. Gemäß der Vereinbarung erfordert ein besseres Angebot grundsätzlich ein schriftliches Übernahmeangebot in gutem Glauben, das einen Barkaufpreis von mindestens 107 % des gemäß der Vereinbarung zu zahlenden Barkaufpreises vorsieht, und keine Finanzierungsbedingung.
Die transaktionsbezogenen Kosten werden sich voraussichtlich insgesamt auf etwa 10,8 Millionen kanadische Dollar belaufen.

Wir alle wissen ja das es unterbewertet ist.
De facto wird es aber so kommen……alles eingetütet. Mit der Strafzahlung an RobinH wenn es doch nicht klappen sollte.

The terms and conditions for the making of a superior proposal and its complete definition are contained in the Arrangement Agreement. Under the Arrangement Agreement, a superior proposal generally requires a bona fide written acquisition proposal, that provides for an all-cash purchase price which is equal to or greater than 107% of the cash purchase price payable under the Arrangement Agreement and no financing condition.
