Lithium South Due Diligence Concluded Commencement of Definitive Agreement September 22, 2025/ Vancouver, BC / Lithium South Development Corporation (the “Company” or “Lithium South”) (TSX-V: LIS) (OTCQB: LISMF) (Frankfurt: OGPQ) ) is providing an update to its news release of July 30, 2025 and August 7, 2025 regarding the sale of the Hombre Muerto North Lithium Project property package to POSCO Argentina SAU, which is the 100-per-cent owned Argentine subsidiary of POSCO Holdings Inc. Das hat dann mit der due diligence in der 60 Tage Frist gut geklappt. Dann hoffe ich mal die Verhandlungen mit POSCO kommen in den nächsten 60 Tagen ebenfalls zu einem guten Ergebnis. POSCO hat ja bisher 62 Mio US$ für die Lithiumresourcen geboten. Die aktuelle Marktkapitalisierung liegt bei 31 Mio US$. Da wäre also beim Aktienkurs noch Luft nach oben, wobei die "closing costs, legal and accounting costs and potential tax considerations" auch zu berücksichtigen sind. Und das Management hat in der Vergangenheit eher auf das eigene Wohl, statt auf das Wohl der Aktionäre gesehen. Ich gehe derzeit davon aus, dass man sich mit POSCO einig wird und bin schon gespannt, wie der Rücknahmepreis für die Aktionäre ausfällt.

Grünes Licht für den Deal mit POSCO!! Leider ist der Verkaufspreis nur um bescheidene 3 Mio US$ auf 65 Mio US$ erhöht worden. Zitat aus dem heutigen Newsletter: "The two companies are currently working for the completion of the Share Purchase Agreement (“S.P.A.”) as announced July 30, 2025, August 7, 2025, and September 22, 2025. The final acquisition price has been agreed and adjusted to US$65 million to account for tax burdens, closing costs and property payments. All major issues have been resolved, and a formal signing is anticipated in the immediate future."

Wie man der News entnehmen kann hat sich LIS gegenüber POSCO verpflichtet, während der zwei 60 Tage Fristen keine anderen Angebote einzuholen oder zu berücksichtigen. Der europäische Investor spielt also vorerst keine Rolle.

Ich bin mal gespannt, ob der europäische Investor noch eine Rolle spielt oder "kampflos" das Feld räumt.

Auch Tradegate läuft wieder. Die ersten Trades bei Kursen um 0,193 €. Bleibt spannend. Ist noch ein weiter Weg bis zum erfolgreichen Verkauf der Assets.

Bei L&S läuft mittlerweile wieder der Handel. Der Rest dürfte bald folgen.

Jetzt ist es raus. Der Nachbar POSCO möchte für bis zu 62 Mio US$ die wesentlichen Lithiumresourcen von Lithium South erwerben. Ein entsprechende Absichtserklärung wurde unterzeichnet. Und es darf auch nichts dazwischen kommen. "The LOI is non-binding and subject to several conditions, including a 60-day due diligence period, followed by a 60-day period for the negotiation and execution of the definitive agreement, during which period LIS has agreed not to solicit or entertain offers from any other parties. Any transaction will require customary regulatory and government approvals and the approval of the shareholders of LIS at a meeting to be called in the future." Um die 62 Mio US$ besser einordnen zu können. Die Marktkapitalisierung von Lithium South lag vor dem Handelsstop bei 20 Mio US$. Die +50% vom Handelsbeginn können aktuell nicht gehalten werden, aber +30% sind auch nicht schlecht.

Seit vergangenen Mittwoch wegen einer anstehenden News vom Handel ausgesetzt. Die brauchen ja ganz schön lange um die News rauszuschicken. Es könnte sich um die angestrebte Partnerschaft mit einem europäischen Investor (News vom Januar) handeln.

Gibt es einen Grund für den deutlichen Anstieg der letzten Tage? Ich konnte keine neuen Nachrichten finden.
