U.S. Cellular and Telephone and Data Systems received approval from the Federal Communications Commission for its deal to sell a portion of its operations to T-Mobile.
In 2024, T-Mobile agreed to pay $4.4 billion for U.S. Cellular's wireless operations and a third of its spectrum assets, which would give T-Mobile millions of new customers. T-Mobile would also be taking on about $2 billion of U.S. Cellular's debt, according to terms of the deal at that time.
The Justice Department on Thursday said its antitrust division wouldn't seek an injunction to prevent the deal from closing.
Telephone and Data Systems is involved in the transaction since it owns about 83% of U.S. Cellular. The deal is the result of a strategic review process that U.S. Cellular began in 2023.
