Hört bitte auf mit dem ewigen Debattieren ob es nun sinnvoll ist oder dreist, seitens des Unternehmens den RS und die KE zur Abstimmung auf der HV zu bringen. Das Thema ist sowas von ausgelutscht. Wartet doch einfach die HV und die Ergebnisse ab. Irgendwann reicht's auch.
Btw. ... ganz schön Druck aufm Kessel gerade ⬆️

Die Begründungen des Managements sind eine reine Farce. Das ATM Programm vom 12.5. ist gedeckelt auf 100 Mio Dollar bei max. 139 Mio Aktien. Bisher eine leere Hülle, da keine freien Aktien mehr ( nennenswert ) vorhanden. Will man neue Aktien ausgeben, braucht man sowieso erst die Zustimmung dafür auf einer HV. Das Management beklagt mit Krokodilstränen einen angeblich instabilen Kurs von 1,68$ am 9.7. Dieser könnte wieder unter 1$ fallen, deswegen RS auf Vorrat. Das ist unglaublich dreist. 1. Man schafft selbst die Bedingungen dafür, wieso der Kurs nicht über 2$ steigt durch RS - und Verwässerungspläne um 340 Mio neuer Aktien, breitet den Shorties damit den roten Teppich aus = geschäftsschädigendes und aktionärsfeindliches Verhalten. 2. Man suggeriert eine unmittelbare Dringlichkeit des Beschlusses, die überhaupt nicht existiert, ein echtes Delisting - Verfahren ist 2026 regulatorisch gar nicht möglich. Und, bei einem Kurs von 3$ genügen bereits 33,33 Mio Aktien, um die Deckelung von 100 Mio Dollar zu erreichen.

Im ersten Fall passiert bei 30-32 Grad nichts, im zweiten Fall kann der Antragssteller auch bei 30 Grad Lust auf Eis bekommen und sich das dann auch gönnen.

Im letzte SEC-Filing ist die Bedingung für die Notwendigkeit eines RS eigentlich klar erläutert: "In order to maintain our listing on the Nasdaq Capital Market, we must continue to satisfy minimum financial and other continued listing requirements and standards, including the minimum bid price requirement. Adverse developments related to our business, unfavorable market conditions, or broader economic downturns may cause the trading price of our common stock to decline below $1.00 again. If we fail to maintain the minimum bid price or other applicable listing standards, Nasdaq may initiate delisting proceedings, which may materially and adversely affect the liquidity and trading price of common stock and our ability to access the capital markets." Falls Nasdaq compliance in Gefahr -> RS notwendig um compliance zu gewährleisten
Das ist aber keine Bedingung, sondern die Begründung für den Antrag, siehe 01.06.:
"To approve the amendment of the Restated Certificate to effect a reverse stock split of our issued and outstanding common stock, and a corresponding and proportionate reduction in the number of authorized shares of common stock, at a ratio of 1-for-10 to 1-for-50, to be determined in the sole discretion of the Board of Directors"

"Notwendigkeit" gibt es in diesem Sinne hier nicht, es obliegt alleine dem Ermessen des Vorstands, ob, wann und in welchem Ausmaß die Beschlüsse zu KE + RS umgesetzt werden.
Richtig ist, dass sie eine Jahr lang Gültigkeit bewahren.

Der RS wird mEn ziemlich sicher beschlossen am 16.07. Es gibt für den RS eine Frist von 1 Jahr nach Beschluss. Sofern er bis dahin nicht notwendig wird (Kurs unter 1$) muss erneut eine Abstimmung erfolgen (siehe letztes SEC-Filing).
