Piedmont wird eine Kapitalbeteiligung von zunächst 9,9 Prozent an Sayona für etwa 3,1 Millionen US-Dollar (die Aktienplatzierung) und zwei unbesicherte Wandelanleihen (die Wandelanleihen) für etwa 3,9 Millionen US-Dollar erwerben, die nach der Konversion dazu führen würden, dass Piedmont eine zusätzliche 10,0-Prozent-Beteiligung an Sayona erwirbt. Piedmont wird einen Director für das Board of Directors von Sayona ernennen. iedmont wird für etwa 5,0 Millionen US-Dollar in bar auch eine 25,0-Prozent-Beteiligung an Sayona Quebec erwerben (die Projektinvestition). Sayona Quebec besitzt das Lithiumprojekt Authier auf der eine endgültigen Machbarkeitsstudie vorhanden ist, sowie das äußerst vielversprechende Lithiumprojekt Tansim und strebt den Erwerb der Aktiva von North American Lithium (NAL) in Quebec an. Piedmont und Sayona Quebec haben auch ein verbindliches Lieferabkommen hinsichtlich Spodumenkonzentrat (SC6) unterzeichnet (das Lieferabkommen), gemäß dem Sayona Quebec an Piedmont 60.000 Tonnen pro Jahr oder 50 Prozent der SC6-Produktion von Sayona Quebec - je nachdem, welcher Wert höher ist - zu Marktpreisen während der Lebensdauer der Mine liefern wird. Es ist davon auszugehen, dass die Aktienplatzierung und die Emission der Wandelanleihen in der Woche vom 11. Januar 2021 abgeschlossen werden, während die Projektinvestition voraussichtlich im Februar 2021 abgeschlossen werden wird.

DIRECTOR RESIGNATION Emerging lithium miner Sayona Mining Limited (ASX:SYA; OTC:DMNXF) announced today the resignation of former Non‐Executive Director, Dan O’Neill. Mr O’Neill was appointed a Director on 10 March 2000, serving also as Managing Director for approximately a year prior to the appointment of current Managing Director, Brett Lynch in July 2019.   An experienced international geologist, Mr O’Neill was responsible for advancing the Definitive Feasibility Study for Sayona’s flagship Authier Lithium Project as a world‐class lithium resource, together with developing the potential of the emerging Tansim Lithium Project, both in Québec, Canada.
