RECONVENING OF EXTRAORDINARY GENERAL MEETING Sundance Resources Limited (ASX: SDL) (“Sundance” or the “Company”) refers to its Notice of Extraordinary General Meeting (EGM) announced on 28 May 2020 (principally to deal with matters relating to the proposed transaction with AustSino Resources Group Ltd (“AustSino”) and the Company’s noteholders) and its announcement on 25 June 2020 postponing the date of the EGM until such time as arrangements relating to certain matters involving AustSino became more certain. Following the announcement by AustSino on 9 July 2020 regarding its placement agreement with Midwest Resources Finance Group Pty Ltd to raise $100 million and the extension of the Sundance Agreement to 30 September 2020 as announced by Sundance on 7 July 2020, Sundance has determined to reconvene the EGM. The updated details for the EGM are as follows: • The EGM will be held on Wednesday, 29 July 2020 at 10:00am (Perth time) at The Celtic Club, 48 Ord Street, West Perth. • The cut-off time for lodgement of proxy forms is now 10:00am (Perth time) on Monday, 27 July 2020. • Shareholders can lodge their proxy online via www.investorvote.com.au, and using Control Number: 183879. The Notice of Meeting is available here or on the Sundance website www.sundanceresources.com.au. • Proxy lodgement instructions and other important information regarding the EGM is otherwise set out in the EGM notice of 28 May 2020, which is available on Sundance’s website at www.sundanceresources.com.au/irm/content/asx-announcements.aspx?RID=8 • All Shareholders can revote at any stage up to the proxy cut off time or attend the meeting and revote. Sundance met with AustSino on 17 July 2020 and was presented with a number of documents to support that progress was being made in funding the Sundance Agreement. The Board of Sundance was pleased to view the documents but did not believe there was sufficient progress to enable it to say that the condition precedent had been satisfied. Nevertheless, Sundance has agreed to waive this condition but not otherwise release AustSino and has given AustSino another five business days (i.e. to 24 July 2020) for AustSino to provide further evidence that the required bank processes, which needs to be undertaken in order for the funding under the Sundance Agreement to be available, are being advanced. The Sundance shareholders’ Extraordinary General Meeting, which was adjourned on 29 June 2020, is now expected to be reconvened before the end of July 2020. Shareholders will be kept advised with regards to the reconvened meeting.

IMPLICATIONS FOR AGREEMENT WITH SUNDANCE AustSino has previously entered into an agreement to pay A$29 million (“Completion Payment”) to Sundance Resources Ltd (“Sundance”) and Sundance will: (a) issue to AustSino 11,153,846,154 shares at an issue price of A$0.0026 per Share; and (b) grant AustSino 11,153,846,154 unlisted options at an exercise price of A$0.02, which have an expiry date of five years after the date of issue, are transferable to persons that do not require a disclosure document and are otherwise on terms consistent with options issued to existing Sundance Noteholder, (“Sundance Transaction”). The Sundance Transaction is conditional, among other things, on AustSino completing a placement of ANS Shares to fund the Completion Payment. The Company will satisfy this condition precedent by undertaking the Midwest Placement.
