Surgery Partners (NASDAQ:SGRY) priced an add-on offering of $425.0 million aggregate principal amount of 7.250% senior unsecured notes due 2032. The Issuer expects the offering to close on December 16, 2025, subject to customary closing conditions. The Notes will be guaranteed by each domestic wholly-owned subsidiary that guarantees the Issuer’s senior secured credit facilities and will be issued as part of the same series as the $800.0 million of 7.250% senior notes due 2032 issued in April 2024. Surgery Partners intends to use net proceeds for general corporate purposes, including repaying borrowings under its revolving credit facility. The offering is being made under Rule 144A and Regulation S.
