BBBY just filed an [S-3 report](https://bedbathandbeyond.gcs-web.com/static-files/c18def7b-eb94-4f4f-996f-96bfcc2c8094) which is "usually as a secondary offering after an initial public offering has already occurred" according to [investopedia](https://www.investopedia.com/terms/s/sec-form-s-3.asp).
According to the [SEC](https://www.sec.gov/interps/legal/slbcf4.txt), a "spun-off company may want to register offers and sales of securities on a Form S-3 "
This suggests really hard that Buy Buy Baby spin off will be announce this morning
