We’re focused on cost of capital vs. speed of execution: a swift close with institutions reduces uncertainty and lets us deploy immediately into revenue-generating uses. Why accept dilution? The dilution funds specific, near-term growth: new ETP listings/markets, scale-up of trading/liquidity (DeFi Alpha), and strategic opportunities we’ve announced. These are intended to lift AUM, fees, and spreads, which is how dilution gets earned back. Remember the warrants: any future warrant exercises only happen above the strike, and would bring additional cash to fuel growth if the stock performs—aligning follow-on capital with shareholders’ upside. What the cash is for (plain English): Expand Valour ETPs across new assets and jurisdictions (listings, seeding, market-making support). Trading / liquidity / staking: working capital for DeFi Alpha and associated market-making that supports AUM growth and tighter spreads. M&A / strategic investments that accelerate our roadmap (e.g., integrations like stablecoin rails, SovFi build-out). Regulatory & operational readiness: maintaining a healthy cash-to-AUM ratio is increasingly important as we enter new regions and scale; it’s a regulatory/operational need to run the platform properly. Why Galaxy leading matters: A recognized institutional anchor helps open doors to long-only, benchmarked capital that can buy in the open market going forward. It also validates the business for institutions that require a reputable lead to engage.
