Lies doch einfach die letzten 8K filings.. Am 23.12. gibt es ein Shareholder Meeting in dem über einen RS und einer Erhöhung der autorisierten Shares von 1.75mrd auf 5mrd abgestimmt wird. Selbstverständlich werden die in Fall der Fälle nicht sofort auf einmal in den Ring geworfen.

KEs laufen normalerweise anders ab.

Guten Morgen, bin gerade dabei, mich hier etwas einzuarbeiten. Es wird behauptet, daß nächste Woche eine KE beschlossen werden soll. Die Aktienanzahl soll sich verdreifachen? Wer kauft diese Aktien? Gibt es da schon Interessenten?

In Maryland kann ein Unternehmen einen RS und auch eine Kapitalerhöhung von selbst beschließen, ohne Shareholder Beteiligung und ohne Ankündigung. Durch den Erwerb des AA Shares behält sich Michery den Großteil des Stimmrechtes für einen RS weiterhin vor, für eine KE jedoch nicht. Und ob er schlussendlich für einen RS stimmt, weiß keiner. Alles in allem ist es EXTREM positiv zu bewerten, dass das Proposal entfällt und wir in Delaware bleiben. Ein Zugeständnis an den Retail

Im Grunde genommen glaube ich egal, weil Michery auch so jedes mal einen neuen R/S durch bekommt. Aber kann mich gerne jemand korrigieren... Maryland hätte er keine Abstimmung gebraucht.

The Board of Directors has determined not to proceed with the Reincorporation Proposal (Proposal No. 3) at the Special Meeting, which proposal asked for stockholder approval to change the Company’s state of incorporation from the State of Delaware to the State of Maryland. Accordingly, the Company will not be presenting this matter to a vote at the Special Meeting, and the Proxy Statement is hereby amended to remove Proposal No. 3. As a result, the Reincorporation will not be consummated and the Company will continue to remain incorporated in the State of Delaware at this time.
