(a) The Company agrees that, from time to time during the term of this Agreement, on the terms and subject to the conditions set forth herein, it will issue and sell through Canaccord, acting as sales agent on behalf of the Agents, shares of the Company’s common stock, $0.0001 par value per share (the “Common Shares”), having an aggregate offering price of up to $120,000,000 (the “Shares”). The Shares will be sold on the terms set forth herein at such times and in such amounts as the Company and the Agents shall agree from time to time. The issuance and sale of the Shares through the Agents will be effected pursuant to the Registration Statement (as defined below).
