Diese Änderungen sind abhängig von: ➢ schriftliche Zustimmung der Sundance-Aktionäre zum SDL Letter Agreement bis zum 31. Dezember 2019 (aber welche erwarten Sundance und AustSino bis Ende November 2019); und ➢ AustSino und Western Australian Port Rail Construction (Shanghai) Ltd. (WAPRC) sind Vertragsparteien einer Vereinbarung vom oder um den 24. September 2018, wonach WAPRC Aktien zeichnen wird im Investor für 100 Millionen US-Dollar (WAPRC-Vereinbarung) und erklärt sich damit einverstanden, die Frist für den Abschluss zu verlängern alle Bedingungen des WAPRC-Übereinkommens vom 31. Dezember 2019 bis 30. Juni 2020 bis zum 1. Dezember Dezember 2019 (den Sundance und AustSino voraussichtlich bis Mitte November 2019 erhalten). Separat als Gegenleistung für Sundance vereinbart, das Enddatum bis zur Fertigstellung des Sundance zu verlängern AustSino erklärte sich damit einverstanden, rund 107.692.308 voll einbezahlte AustSino-Stammaktien an zu emittieren Sundance zu einem angenommenen Ausgabepreis von 0,013 USD je Aktie, der Sundance jedoch bis spätestens 5 USD kostenlos zur Verfügung steht Werktage nach Erhalt der schriftlichen Zustimmung aller Noteholder von Sundance zum SDL Letter Vereinbarung (die Sundance und AustSino voraussichtlich Ende November 2019 erhalten). Sundance und AustSino gehen davon aus, dass das Sundance-Abkommen vor dem 30. Juni 2020 abgeschlossen wird. KAMERUN-ÜBEREINKOMMEN Vertreter von Sundance und AustSino hatten eine Reihe von Sitzungen zur Wiedereinsetzung von die Mbalam-Konvention mit dem Amt des Premierministers und der Präsidentschaft in Kamerun und wurden ermutigt durch diese Treffen. Weitere Treffen und Diskussionen sind auch in Afrika geplant und China vor Ende 2019. SUNDANCE BLEIBT IN FREIWILLIGER AUSSETZUNG Sundance geht davon aus, dass der Handel mit seinen Aktien an der ASX bis zum Sundance Agreement ausgesetzt bleibt ist abgeschlossen oder es geht zu Ende. UNTERNEHMEN Der gesamte Mittelabfluss aus betrieblicher Tätigkeit belief sich im Berichtszeitraum auf 453.000 USD. Sundance beendete den September 2019 Quartal mit 361.000 USD in bar und Einlagen. Während des Quartals wurden 685.000 USD gesammelt. Davon stammten 500.000 USD aus Platzierungen bei AustSino nach dem Finanzierungsunterstützungsklausel des Sundance-Abkommens und 185.000 USD von erfahrenen Investoren. Die Ausgaben für das kommende Quartal werden auf 556.000 USD geschätzt und beinhalten das normale Betriebskapital zuzüglich Anwaltskosten, Abschluss des Gutachtens des unabhängigen Sachverständigen, Kosten im Zusammenhang mit dem Jahresbericht und Jahreshauptversammlung soll Ende November stattfinden. AUSGABEN Der Pro-forma-Anhang 5B - Kapitalflussrechnung wird in einem separaten Bericht zur Verfügung gestellt. ASX ANKÜNDIGUNGEN Der Quartalsbericht sollte in Verbindung mit allen Mitteilungen *** des Unternehmens an die ASX, einschließlich des Jahresabschlusses, der weitere Einzelheiten zu wesentlichen Geschäftsrisiken enthält.

These changes are conditional on: ➢ written agreement of Sundance’s Noteholders to the SDL Letter Agreement by 31 December 2019 (but which Sundance and AustSino expect to receive by late November 2019); and ➢ AustSino and Western Australian Port Rail Construction (Shanghai) Ltd (WAPRC), being parties to an agreement dated on or about 24 September 2018 pursuant to which WAPRC will subscribe for shares in the Investor for $100 million (WAPRC Agreement), agreeing to extend the deadline for completing all conditions precedent under the WAPRC Agreement from 31 December 2019 to 30 June 2020, by 1 December 2019 (which Sundance and AustSino expect to receive by mid November 2019). Separately, as consideration for Sundance agreeing to extend the end date to completion of the Sundance Agreement, AustSino agreed to issue approximately 107,692,308 fully paid ordinary AustSino shares to Sundance at a deemed issue price of $0.013 per share but at no cost to Sundance, by no later than 5 business days after receipt of written agreement from all Noteholders of Sundance to the SDL Letter Agreement (which Sundance and AustSino expect to receive by late November 2019). Sundance and AustSino expect that the Sundance Agreement will be concluded before 30 June 2020. CAMEROON CONVENTION Sundance and AustSino representatives have had a number of meetings regarding the reinstatement of the Mbalam Convention with the Prime Minister’s office and the Presidency in Cameroon and have been encouraged by these meetings. Further meetings and discussions are also planned to take place in Africa and China before the end of 2019. SUNDANCE REMAINS IN VOLUNTARY SUSPENSION Sundance expects that trading in its shares on ASX will remain suspended until the Sundance Agreement is completed or it comes to an end. CORPORATE Total cash outflow from operating activities for the period was $453,000. Sundance ended the September 2019 Quarter with $361,000 in cash and deposits. During the quarter $685,000 was raised. $500,000 of that came from placements with AustSino as per the financing support clause of the Sundance Agreement and $185,000 from sophisticated investors. The expenditure for the coming quarter is estimated to be $556,000 and includes normal working capital plus legal costs, completion of Independent Expert’s Report, costs associated with the annual report and annual general meeting to be held in late November. QUARTERLY ACTIVITIES REPORT PERIOD ENDED 30 SEPTEMBER 2019 Summary: ➢ New AustSino, Noteholder Agreement entered into on 5 July 2019, extended to 30 June 2020 ➢ Further meetings with Cameroon Government on convention extension ➢ Sundance shares remain in voluntary suspension ➢ $361,000 cash on hand as at 30 September 2019 Sundance Resources Limited (ASX: SDL) (“Sundance” or “Company”) provides the following information about activities for the quarter ended 30 September 2019: AGREEMENT WITH AUSTSINO AND NOTEHOLDERS UPDATES As announced on 8 July 2019, Sundance Resources Ltd (“Sundance”) (ASX: SDL), AustSino Resources Group Ltd (“AustSino”) (ASX: ANS) and the Noteholders of Sundance (“Noteholders”) entered into an agreement dated 5 July 2019, which regulates the terms on which AustSino would invest in Sundance and the existing notes held by the Noteholders would be cancelled in exchange for a cash, share and option package (“Sundance Agreement”). The end date for completion of the Sundance Agreement was 31 December 2019. On 22 October 2019 a letter agreement was signed between Sundance and AustSino in which we agreed to extend the end date for completion of the Sundance Agreement to 30 June 2020 (“SDL Letter Agreement”). In addition to this extension: ➢ The existing financial support arrangement in the Sundance Agreement will continue until completion. AustSino will continue to pay $100,000 per month to Sundance in return for the issue of ordinary shares in Sundance at an issue price of $0.0045 per share (which would comprise total payments of $1.3 million if completion does not occur until 30 June 2020). ➢ AustSino will now pay an additional $200,000 per month to Sundance starting on 1 December 2019 in return for the issue of ordinary shares in Sundance at an issue price of $0.0045 per share. However, the shares will not be issued to AustSino unless and until completion occurs (which would comprise total additional payments of $1.4 million to Sundance if completion does not occur until 30 June 2020). ➢ Sundance and AustSino have agreed to release each other (and their relevant personnel) from any claims or liabilities arising under or in connection with the Second Placement Agreement or the Mbalam-Nabeba Iron Ore Project prior to 22 October 2019 (the date of the SDL Letter Agreement). The additional funds to be received from AustSino will be used for general working capital purposes and to progress discussions regarding the Mbalam-Nabeba Iron Ore Project.
