Each unit consists of one share of common stock and a warrant to purchase one share at an exercise price of $1.50; warrants expire five years from issuance and are immediately exercisable. The company intends to use net proceeds to fund development of clinical and early-stage candidates, particularly TN-201 and TN-401, and for working capital. Closing is expected on or about December 15, 2025, subject to customary conditions.
