Dear Investors: The following update is being sent on a without prejudice basis and on a common interest. In the past, an investor shared my updates on public forms resulting in the information being made public and to the lawyers representing the alleged wrongdoers. We believe certain executives of members of the Board engaged in wrongful conduct to mislead investors. We have not, however, proven any off the allegations at this stage. Here is a link to our information page, https://morgantico.com/wayland-group-corp/ During September 2019, we started a class action against Wayland Group Corp., Ben Ward, and two of Wayland's underwriters for making misrepresentations to investors contrary to the Ontario Securities Act. The Claim was issued/filed in Sarnia, Ontario, on behalf of all investors that purchased Wayland Group's equity securities between January 24, 2018, and August 2, 2019. The shares purchased, on any stock exchange, during that period are protected from the Class Action, only. In December 2019, Wayland Group entered CCAA protection, and is now bankrupt and liquidated to the benefit of priority and secured creditors. Shareholders, like you, are not priority or secured creditors. The only Wayland Group asset that remains for shareholders to recover against is approximately $20 million of insurance. We may also be able to go after the assets of the individual wrongdoers. Please note that the actual damages of Shareholders, such as you, likely exceed $200 million. In July 2020, we successfully obtained an Order permitting the class action to continue as against Ben Ward (who is missing and has not responded to our litigation), and the two underwriters. Also in July 2020, we delivered a proposed Amended Claim which adds certain former officers and directors of Wayland Group whom we believe should be held accountable for Wayland Group's shareholder losses. However, the Stay of Proceedings from Wayland Group's CCAA proceeding prevents us from filing our Amended Claim until after December 4, 2020, when the stay of litigation expires. Until then, Wayland Group's insurer is considering our proposed Amended Claim. If the D&O insurer (really a tower of several insurers), takes an "off-coverage" position (meaning it takes the position that the insurance does not apply and will not pay due to some exclusion in the policy - such as might apply to intentional misconduct like fraud), then there will be legal wrangling about that until at most December 4, 2020, at which time we will simply file our Amended Claim and pursue the individual defendants personally regardless of whether they have insurance or not. We will also continue the claims against the underwriters that sold Wayland Group's shares in the various 2018 public offerings. These claims will likely only benefit those investors that purchased shares from the underwriters. If you purchased shares from the underwriters in one of the public or private offerings, please contact me to further discuss. We have received several hundred, literally, inquiries from investors concerned about not being able to crystallize their losses now that Wayland Group's shares are fully halted. It is not physically possible for us to respond to all of you. We will update our website as we have more to report, which will likely be in January 2021, after the December 2020 stay of litigation is lifted and we can proceed against all the perceived wrongdoers. Es gibt aber ein Urteil darüber, das wertlos gewordene Aktien die ausgebucht werden, wie "Ausfall von Darlehnensforderungen" behandelt werden und somit steuerlich anrechenbar sind. FG Rheinland-Rfalz Urteil v. 12.12.2018 , 2 K 1952/16 Der Bundesfinanzhof stützt dieses Urteil. Noch ist es in der Schwebe, da theoretisch Revision zugelassen wurde. Also Abarten. Aktenzeichen BFH VIII R 5/19 da kann jeder mal lesen und es seinem Steuerberater geben.

Ich habe heute morgen diese Nachricht auf Anfrage von Onvista bekommen. "Bei einer wertlosen Ausbuchung handelt es sich um einen Forderungsausfall, der keine Veräußerung im Sinne des § 20 Absatz 2 Satz 2 EStG darstellt und insoweit einkommensteuerrechtlich ohne Bedeutung ist. Eine Einstellung in den steuerlichen Verlusttopf und eine Finanzamtsmeldung erfolgen daher nicht."

Laut Telefonat mit Consors werden die wohl nicht von selbst ausgebucht. Kann man ausbuchen lassen, kostet 19 Euro. In den Verlusttopf bekommt man sie wohl nicht rein. Man müsst es mit der Steuererklärung geltend machen.

Vermutlich wird die Bank keine Steuerbescheinigunh für die Verluste erstellen aber die Veräußerungsmitteilung mit dem Verlust ist ausreichend um vor dem Finanzamt ein Ruhen des Verfahrens zu erreichen.

Gibt übrigens ein laufendes BFH Verfahren zu Verlusten von als wertlos ausgebuchten Anteilen. Ein FG hat pro Aktionär geurteilt. Revisionsführer Finanzverwaltung. Falls es jemanden interessiert, suche ich das Aktenzeichen raus.
