Und hier der wegen der von euch diskutierten Übernahme Punkt ( ich halte es für abwegig) Early Warning Reports and Take-Over Bids A take-over bid is an offer to acquire 20 per cent or more of the securities of an issuer. As part of the take-over bid rules, there are separate reporting requirements for acquisitions of securities between 10 and 20 per cent, called the “early warning” requirements.

Sorry natürlich 10 nicht 30 Tage

Thank you for your inquiry to the Ontario Securities Commission (OSC) concerning the shareholding threshold for disclosure obligations. The per cent threshold for disclosure obligations of a person considered as an insider is 10 per cent as you rightly mentioned. Definitions and General Obligations Reporting insiders of reporting issuers (e.g., public companies) must file insider trading reports when they acquire or dispose of securities of those reporting issuers. It is important to distinguish between an “insider” and a “reporting insider”. Reporting insiders are a sub-set of insiders. Insider means a director or officer of a reporting issuer, or a person or company who has beneficial ownership of, or control or direction over, directly or indirectly, securities of a reporting issuer with more than 10% of the voting rights. The actual definition is more extensive and should be reviewed in detail. The terms “insider”, “director”, “officer”, “person”, and “company” are defined in s. 1(1) of the Securities Act. Reporting insider means an insider of the reporting issuer if the insider is the CEO, CFO, COO of the reporting issuer, or a “significant shareholder” of the reporting issuer. Again, the actual definition is more extensive and should be reviewed in detail. A “significant shareholder” means a person or company who has beneficial ownership of, or control or direction over, directly or indirectly, securities of a reporting issuer with more than 10% of the voting rights. The terms “reporting insider” and “significant shareholder” are defined in section 1.1 of National Instrument 55-104 Insider Reporting Requirements and Exemptions (NI 55-104). Timing - Report Insider Trades within 5 days Insider reports must be filed within five calendar days, except for one's initial filing on becoming a reporting insider, which must be filed within 10 days. Note, section 9.4(a) of NI 55-104 also provides an exemption from filing an initial report if a reporting insider does not own securities of the reporting issuer. Filing Requirements and FAQ’s – SEDI Insider reports must be filed on the website of the System for Electronic Disclosure by Insiders (SEDI) (at www.sedi.ca ). Detailed instructions for filing on SEDI are available in the Help section of the SEDI website. From the SEDI homepage, click "Help" in the top navigation bar and then select the appropriate sub-heading from the following list: • Agent • Insider • Issuer • Public • FAQ’s • Troubleshooting Filing Help If Ontario is the principal regulator in Canada for an issuer, you may wish to contact the OSC for assistance in filing a SEDI transaction. The telephone number of the Contact Centre is 416-593-8314 (or toll free at 1-877-785-1555). If Ontario is not the principal regulator, you may contact the appropriate securities regulatory authority for the issuer for help. Early Warning Reports and Take-Over Bids A take-over bid is an offer to acquire 20 per cent or more of the securities of an issuer. As part of the take-over bid rules, there are separate reporting requirements for acquisitions of securities between 10 and 20 per cent, called the “early warning” requirements. References The Securities Act and OSC instruments, rules, and policies are available for review on the OSC website (www.osc.gov.on.ca), under the tab “Securities Law ”. For the Act, select “Legislation”. For the rules and policies, select “Instruments, Rules & Policies” and follow the links, based on the first number of the instrument, rule, or policy (e.g., select “5 – Ongoing Requirements for Issuers and Insiders” for 55-104). If you have any questions about the information provided above, please call me at the number below. Sincerely, Azeezat Lead Inquiries Officer Ontario Securities Commission

Was sagst Du dazu?

Was wird also Mogo machen?
