Ich sage es Euch: 22-Dec-23 $0.30 100,000 Exercise of Warrants 27-Dec-23 $0.30 50,000 Exercise of Warrants 29-Dec-23 $0.30 50,000 Exercise of Warrants. Sofort wurden in Summe 200.000 Warrants gezogen, die - so meine Interpretation - auch gleich in den Markt gegeben wurden, um keine Verluste zu machen. Im Ergebnis besorgt es sich WonderFi damit selbst, dass es zu keinen signifikanten Anstiegen kommen kann, solange Restbestände von den 22,6 Mio. Warrants (Stand: 31.12.2023) mit Bezugskurs von 0,30 Can.Dollar noch ausübbar sind. Warum macht WonderFi so etwas? Mit Sicherheit nicht, um seinen Aktionären einen Mehrwert zu verschaffen. Aber mit dieser fragwürdigen Methode schaffe ich es, künftige Bezugskurse für Equity Incentive Programme (die orientieren sich am Zeitwert zum Zeitwert der Gewährung) noch eine geraume Zeit sehr günstig zu gestalten. Nutznießer: Top-Manager, leitende Angestellte, Berater & vll auch Family & Friends. Klingt doch unglaublich, dass die von uns zu 100% bezahlten Manager dann auch noch ihre Interessen über denen ihrer Aktionäre stellen. Selbstbedienung halt; klappt am besten, wenn die Kontrolle schwach oder gar nicht funktioniert...🤷‍♂️

wichtig ist doch nur, dass diese ganze negative Scheiße endlich einmal groß und breit auf den Tisch kommt. WonderFi muss doch merken und verstehen, dass mittlerweile große Teile ihrer Anlegerschaft mitbekommen haben, wo es nicht passt. Ein derartiges Missmanagement der Equity Position sollte einfach nicht mehr nur stillschweigend hingenommen werden, sondern sollte öffentlich in Finanzforen wie in diesem entsprechen angeprangert werden.

Bevor ihr anmerkt, ob ich nicht wüsste, dann Brocklehurst erst seit 14. Juli 2023 bestellt wurde und für vieles Ungemach in der Equity-Angelegenheit gar nicht der Verursacher gewesen ist, kann ich nur sagen, dass es mir so etwas von egal ist. Er ist verantwortlich und muss er grade biegen. Deshalb habe ich mich auf ihn festgelegt und er kriegt den Denkzettel. Ich würde mich freuen, ihr macht damit.

Absoluter Wahnsinn für wie günstig WonderFi im Equity Incentive Plan bereits heute schon seine künftigen Common Shares verschleudert. Ein User sprach von Selbstbedienungsmentalität. Das trifft es schon sehr gut. Ich werde auf der kommenden HV unserem CFO Gordon Brocklehurst einen Denkzettel verpassen und für Nichtentlastung stimmen. Vll wacht er dann mal auf und ändert das.

Options & Other Share-Based Awards: The Company amended its existing Equity Incentive Plan on September 12, 2022. The purpose of the Equity Incentive Plan is to provide the Company with share–related mechanism to attract, retain and motivate qualified directors, employees and consultants of the Company and its subsidiaries, to reward such of those directors, employees and consultants from time to time for their contributions toward the long-term goals and success of the Company. As of the date of this AIF, there are 22,053,910 Options outstanding on a fully diluted basis. The Options were issued to directors, employees, and consultants pursuant to the Equity Incentive Plan. Each Option is exercisable by the holders thereof for one Common Share and have exercise prices ranging from $0.14 - $0.30 per Common Share. 1,368,000 Option were issued to the agents of the brokered private placement of units that closed on January 30, 2023. Each Option is exercisable at the offering price of the brokered private placement for a period of 24 months following the closing of the private placement. As of the date of this AIF, there are 5,907,045 RSUs outstanding on a fully diluted basis. The RSUs were issued to directors, employees, and consultants pursuant to the Equity Incentive Plan. Each grant of RSUs contain specific vesting terms and is subject to and governed by the Equity Incentive Plan.

Warrants As of the date of this AIF, the Company has 37,154,431 Warrants outstanding. 6,760,002 Warrants outstanding were issued in connection with the October 2021 Bought Deal and are exercisable by the holder thereof to acquire one Common Share at a price of $2.55 until October 26, 2024. Each of these Warrants are issued and created pursuant to the Warrant Indenture, and are subject to a warrant acceleration right exercisable by the Company if at any time following the date that is four months and one day following February 27, 2021, the daily volume weighted average trading price of the Common Shares on the TSX is greater than $4.00 per Common Share for the preceding 5 consecutive trading days, the Company shall have the right to accelerate the expiry date of the Warrants to a date that is at least 30 days following the date of a written notice to the holders thereof (the “Warrant Acceleration Right”). The Common Shares and Warrants are subject to a Canadian four-month statutory hold period. 22,800,000 January 2023 Warrants were issued in connection with the brokered private placement of units that closed on January 30, 2023. Da ist doch mal eine gefixte Aussage zum Share Capital - immerhin: As the date of this AIF, there are a total of 652,610,303 Common Shares, 22,053,910 Options, 5,907,045 RSUs and 37,154,431 Common Share purchase warrants (including broker warrants) issued and outstanding.

Ach Du dickes Ei. Unsere Company wäre gar kein Ersttäter mehr: On November 29, 2018, the Company consolidated its Common Shares on a 4 old for 1 new basis, pursuant to which the Company changed the authorized number of Common Shares from 100,000,000 to 25,000,000.
