Morgen HV; im besten Fall wird der Split beschlossen; dann sollte es ordentlich bergauf gehen..

Ist doch hier nur eine Frage der Zeit, bis der Korken knallt. Für 101,6€ würde ich nochmal paar nehmen..

Dear Shareholders of flatexDEGIRO, In light of the feedback and questions we received following what we see as a misinterpretation of the important agenda items 5a and 8 by ISS (where other proxy advisors, such as Glass Lewis, support both agenda items), we would like to provide further clarification ahead of the upcoming AGM vote. ISS recommends to vote against agenda item 8 (Stock spilt) due to the resulting technical adjustment of existing authorizations and capitals. flatexDEGIRO proposes a stock split (4:1) to further increase liquidity in the share. The split makes the technical adjustment of existing authorizations and capitals necessary in order to maintain the status quo, as it was supported by the last AGM in October 2020. A vote “against” would result in us not being able to perform the beneficial stock split. It would, however, not result in a change of the existing authorizations and capitals. Supporting the proposal will accordingly enable us to perform the stock split while – again – maintaining the economics of the existing authorizations and capitals unchanged.   Furthermore, ISS recommends to vote against the re-election of Martin Korbmacher to the supervisory board (agenda item 5a) based on a lack of diversity. The supervisory board of flatexDEGIRO consist of three members, which are all proposed for re-election. Based on the crucial business knowledge and experience of the proposed supervisory board members as well as the successful, constructive and trustful cooperation between the supervisory board and the management board over the recent years, we believe that continuing our growth agenda with the current members of the supervisory board is in the best interest of all shareholders.   As mentioned in at the beginning, other proxy advisors, such as Glass Lewis, support both agenda items, concluding in regards to the stock split that with regard to the proposed amendments to the Company's existing capital authorities, given that the Company proposes to increase this in the same ratio to the issued share capital and that all other terms of this authority will remain unchanged, this amendment should be viewed as being technical in nature. Glass Lewis also concludes that, considering the small size of the Company's supervisory board, recommending direct shareholder action on this issue at this time would be disproportionate.   Please also note that in regards to agenda item 9 (“Amendment of Articles of Association”) the ISS only recommends a “precautionary” vote against. We believe that the amendments, including the ability to hold virtual AGMs, are in the best interest of our shareholders, in particular the international investors who form the majority of flatexDEGIRO’s current shareholder base. Based on these clarifications, we would highly appreciate if our shareholders vote for the corresponding agenda items and support us in achieving our common goal.
