The sales are permitted under an existing shelf registration that became effective September 15, 2025 (File No. 333-290252). Net proceeds are intended for general corporate purposes including the acquisition of bitcoin and bitcoin-related products, working capital, purchase of income-generating assets, capital expenditures, repurchases of Class A common stock and/or repayment of debt, and potential acquisitions. Sales will occur under a prospectus supplement filed with the SEC on December 9, 2025.
