USD ausgegeben werden. Die Schuldverschreibungen können wie unten angegeben zu einem Wandlungspreis von 0,35 USD je Anteil in Stammaktien der Gesellschaft gewandelt werden, was eine Prämie auf den Schlusskurs der Anteile am Tag vor dieser Bekanntgabe darstellt. Die Schuldverschreibungen haben eine Laufzeit von einem (1) Jahr ab dem Datum des Abschlusses der Finanzierung (das 'Fälligkeitsdatum') und sind mit 10% pa zu verzinsen (die 'Zinsen'), zahlbar vierteljährlich. Wenn die Stammaktien des Unternehmens an fünfundvierzig (45) aufeinanderfolgenden Handelstagen an der TSX Venture Exchange zu einem volumengewichteten Durchschnittspreis von 0,50 USD oder mehr gehandelt werden, hat das Unternehmen zu jedem späteren Zeitpunkt während des Handels das Recht (aber nicht die Verpflichtung) Restlaufzeit der Schuldverschreibungen, um zu bewirken, dass jede Schuldverschreibung in diese Anzahl von Anteilen konvertierbar ist, die auf der Grundlage des Nennbetrags der Schuldverschreibung zuzüglich aufgelaufener, aber nicht gezahlter Zinsen geteilt durch den Wandlungspreis berechnet wird. Die Laufzeit verlängert sich automatisch um jeweils 12 Monate, sofern sie nicht von einer der Parteien gekündigt wird. Die Bedingungen für die Vertragsentschädigung betragen 5.000 USD pro Monat und gelten nur für Dienstleistungen, wie in den TSX Venture Exchange-Richtlinien 3.4 für Investor Relations, Werbeaktivitäten und Market Making-Aktivitäten beschrieben.
