On the Effective Date, except as otherwise specifically provided for in the Plan or the Confirmation Order, all notes, bonds, indentures, agreements, guarantees, equity interests in the Debtors, and other instruments and documents evidencing any Claim or Interest shall be deemed cancelled, terminated, and of no further force or effect, without any further action on the part of the Debtors or the Reorganized Debtors, the holders of such Claims or Interests, or any other Person.” [Quelle: SEC Filing Exhibit EX-2.1] 🖋️ Was das bedeutet: Alle „equity interests in the Debtors“ = alle bestehenden Aktien und Beteiligungen an Bed Bath & Beyond. “deemed cancelled, terminated, and of no further force or effect” = gelten als gestrichen, beendet und haben keinerlei rechtliche Wirkung mehr. “without any further action” = automatisch, ohne dass du irgendwas hättest tun können. 🛑 Noch klarer in der Summary aus dem Plan (Article III.E.6) > “... existing Interests in Bed Bath & Beyond shall be cancelled, released, and extinguished, and shall be of no further force or effect, and the Holders thereof shall not receive or retain any property on account of such Interests.” Das heißt auf Deutsch: Alle bestehenden Aktien (Interessen) an Bed Bath & Beyond werden gestrichen, aufgehoben und vernichtet. Die Aktionäre erhalten nichts dafür und behalten kein Recht auf irgendetwas.
