(16. Juli 2025 – Oslo, Norwegen) Nel ASA hat heute im Rahmen des langfristigen Anreizprogramms (Long-Term Incentive, LTI) 500.000 Aktienoptionen an seinen CEO, Håkon Volldal, vergeben. Der Ausübungspreis der gewährten Optionen beträgt 2,765 NOK, was einem Aufschlag von 10 % auf den Schlusskurs der Aktie am 30. Juni 2025 entspricht – dem dritten Jahrestag seines Dienstantritts. Die Optionen haben eine Laufzeit von fünf Jahren und eine Vesting-Periode (Wartezeit bis zur Ausübung) von drei Jahren. Bezug genommen wird auf die Pressemitteilung vom 5. Januar 2022, in der die heutige Zuteilung von insgesamt 500.000 Aktienoptionen an Håkon Volldal im Einklang mit dem LTI-Programm des Unternehmens angekündigt wurde. Jede Option berechtigt Håkon Volldal nach Ablauf der Vesting-Periode zum Erwerb einer Aktie des Unternehmens. Die Optionen werden ohne Gegenleistung gewährt. Laut Vesting-Zeitplan werden 100 % dieser Optionen nach drei Jahren unverfallbar, vorausgesetzt, Håkon Volldal bleibt weiterhin beim Unternehmen beschäftigt. Nicht ausgeübte Optionen verfallen fünf Jahre nach dem Zuteilungsdatum. Gemäß dem LTI-Programm erhält Håkon Volldal jeweils 500.000 Optionen zum ersten, zweiten und dritten Jahrestag seines Dienstantritts. Der maximal mögliche Gesamtgewinn aus allen Optionen ist auf 25 Millionen NOK begrenzt, wobei der Höchstwert pro Option bei 30 NOK liegt.
